DO NOT ENTER THIS CONTEST IF YOU DO NOT RESIDE IN THE UNITED STATES (INCLUDING THE DISTRICT OF COLUMBIA) AND IF YOU ARE NOT AT LEAST 18 YEARS OF AGE OR OLDER (19 IN NEBRASKA AND ALABAMA). ELIGIBLITY: The 2012 Bonnaroo Music and Arts Festival (“Festival”) Air Guitar Video Contest is open to legal residents of the United States including the District of Columbia who are 18 years of age or older (19 years of age or older in NE and AL) as of May 9, 2012. Void where prohibited. Employees, officers, and directors of Axis Sponsorships, LLC (the “Sponsor”), the Festival and any of their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies, retailers, distributors or any other individual or company involved in the development or execution of the Contest (collectively the “Contest Parties”), and members of their immediate families (parent, child, sibling and their respective spouses) and households of each, whether or not related, are not eligible to enter or win.
CONTEST DESCRIPTION: 2009 Air Guitar champion, William Ocean will perform an original air guitar video routine on the “Bonnaroo 365” channel on YouTube (“Channel”) during which he will challenge viewers and fans to post video responses of their original air guitar routines and to participate in the Contest. One (1) Contest winner will be selected and the prize to the Contest winner is two (2) VIP tickets to the Festival and potential promotional use of the Contest winner’s video response by the Festival. Select submissions will also be chosen for use in a highlight reel to be uploaded around the announcement of the winner.
HOW TO ENTER THE CONTEST: To enter, go to the Bonnaroo page on YouTube (www.youtube.com/bonnaroo365) and click on the “MMJ Air Guitar Contest” video to access the William Ocean Video. To be eligible, entrants must go to the Bonnaroo page on YouTube (www.youtube.com/bonnaroo365) during the Contest Entry Period; submit a response video which depicts the entrant imitating the motions of playing a guitar where no such instrument exists (“Entry”). No props or real guitars, backing groups, additional players or other instrument/gear may be included in the Entry. The invisible guitar may be electric and/or acoustic and played with or without a pick. “Air Roadies” and audience members are permitted.
Entry specifications:
• Videos must be no shorter than 30 seconds nor longer than 2 minutes
To be eligible, your Entry must be received by Midnight (ET) on May 15, 2012. Entries that do not meet the requirements stated herein, will not be eligible for the Contest, and will not be considered for judging. Incomplete or inaccurate entries are void; however Contest Parties reserve the right to modify or edit any materials relating to an Entry or to request Entrant to do so in their sole discretion, if such Contest Parties deem that such entry violates the terms and conditions set forth in these Official Rules.
For purposes of these Official Rules, “receipt” of an Entry occurs when the official IP server records the Entry information resulting from entrant (“Entrant”) clicking the “Submit” button when uploading an Entry via the Contest application. Any automated computer notice (such as an entry confirmation page) does not constitute proof of actual receipt by Sponsor for purposes of these Official Rules. All entry materials (files) submitted become Sponsor’s property and will not be returned or acknowledged.

CONDITIONS OF ENTRY: Entrant warrants and represents that each Entry such Entrant is submitting:

(a) is entirely original and solely created by the entrant, who holds all rights to the entry
(b) does not infringe the intellectual property, privacy or publicity rights or any other legal or moral rights of any third party;
(c) has not been entered in previous contests or won previous awards;
(d) has not been published or distributed previously in any media.

ENTRY GUIDELINES: An Entry must also comply with the following guidelines:
• Entry must not be sexually explicit or suggestive, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic or contain nudity;
• Entry must not promote the use of alcohol, illegal drugs, tobacco, or firearms/weapons, any activities that are unsafe or dangerous, or any particular political agenda or message;
• Entry must not be obscene or offensive in any way;
• Entry must not defame Sponsor other people, products or companies; contain derogatory characterizations of any ethnic, racial, sexual, gender, disability, age or religious groups nor humiliate other people (publicly or otherwise);
• Entry must not contain trademarks, logos or trade dress owned by others, or advertise or promote any brand or product of any kind other than the Festival, or contain any personally identifiable information of any individual;
• Entry must not contain copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in websites, television, movies or other media);
• Entry must not communicate messages or images inconsistent with the positive goodwill of the festival; and
• Entry must not depict any violation of law, code or regulation.

Whether or not an Entry violates any of these guidelines shall be determined by the Sponsor and the Judge and their sole discretion. The Sponsor may or may not notify an entrant if an Entry is deemed to be in violation of these Guidelines.

LICENSE OF RIGHTS: Entrant represents that at the time of submission of the Entry he/she owns all rights to his/her Entry, including, without limitation, the copyright, and agrees not to license or assign his or her rights to the Entry to any other party. Entrant irrevocably grants Sponsor, YouTube. the Festival, and their respective affiliates, legal representatives, assigns, agents and licensees, the unconditional and perpetual right and permission to reproduce, encode, store, copy, transmit, publish, post, broadcast, display, sell, edit, adapt, modify, exhibit and/or otherwise use or reuse (without limitation as to when or to the number of times used), the Entrant’s Entry, as well as to use Entrant’s name, likeness, photograph (collectively, “Likeness”), and/or statements regarding his/her participation in this Contest (with or without using the Entrant’s name) in any and all media without limitation as to time or territory, and without additional compensation or approval from the Entrant or any other party. Entrant waives intellectual property rights, privacy/publicity rights or other legal or moral rights that might preclude the Sponsor’s use of any element of the Entry, and agrees not to sue or assert any claim against the Sponsor for the use of any element of the Entry or Entrant’s Likeness or statements. The Contest winner, by acceptance of a prize, irrevocably assign and transfer to the Sponsor any all rights, title and interest in the entry, including, without limitation, all copyrights and agree to waive in favor of Sponsor, all rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that winner may now or later have to an Entry.

Entrant agrees to indemnify and hold Sponsor, YouTube, its agencies and Contest Parties and their respective affiliates, officers, directors, agents, co-branders or other partners, and any of their employees (collectively, the “Indemnitees”), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys’ fees) and liabilities (including settlements), brought or asserted by any third party against any of the Indemnitees due to or arising out of the use of Entrant’s Entry, including but not limited to claims for trademark infringement, copyright infringement, violation of an individual’s right of publicity or right of privacy, or defamation. Entrant further agrees to release Sponsor from any and all claims that any advertising subsequently produced, presented, and/or prepared by or on behalf of Sponsor infringes Entrant’s rights with regard to any elements or ideas contained in any element of the Entry.
RELEASE: By submitting an Entry, Entrant acknowledges that Sponsor may receive many entries in this Contest and that such other entries may be similar or identical in theme, idea, format or other respects to Entrant’s Entry and Entrant waives any and all claims Entrant may have had, may have, and/or may have in the future that any composition, other entries, and/or ideas accepted, reviewed and/or used by the Sponsor, the Judge, their affiliates, or their respective officers, directors, employees and agents may be similar to or the same as his/her Entry. Receipt of Entry will not be acknowledged and Entries will not be received or held “in confidence.” A submission of Entry does not create a confidential relationship or obligation of confidentiality between Entrant and the Sponsor, the Judge, their affiliates, or their respective officers, directors, employees and agents. Entrant acknowledges and agrees that the Sponsor, the Judge, their affiliates, and their respective officers, directors, employees and agents do not have now, nor shall any of them have in the future, any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the non-infringement or protection of any copyright, trademark, patent, or any other claimed right or interest in and to Entrant’s Entry.
JUDGING: The Entrants will be judged by William Ocean, the 2009 Air Guitar champion, whose qualifications can be viewed at http://williamocean.com/about/ (“Judge”). Each eligible Entry will be judged based on the following equally weighed judging criteria: (1) creativity, (2) originality, (3) technique; and (3) energy/charisma/personality. The following may be taken into account by the Judge in selecting the winner (“Winner”): Technical Merit: How well the entrant matches their hand movements with changes in the song; Stage Presence: Costume, theatrics, the ability to be taken over by the music, enthusiasm and performance moves; and Airness: the extent to which a performance transcends the imitation of a real guitar and becomes an art form itself. The Judge’s decision is final in all matters relating to the contest.
PRIZE TERMS: The Prize consists of two (2) non-transferable V.I.P. tickets to the 2012 Bonnaroo Music and Arts Festival in Manchester, Tennessee, scheduled for June 7 – 10, 2012. The ARV of the Prize is $1400.00. Odds of winning depend on the number of eligible entries received. Prize includes tickets only and does not include travel to or from the Festival or any costs associated with attending the Festival. The Prize will not be substituted, except at the sole discretion of Sponsor, and is not assignable and not transferable. Winner is responsible for all federal, state, local sales and income taxes associated with acceptance of the Prize, and all fees and expenses related to acceptance and prize related travel and activities not specifically stated herein are the sole responsibility of the individual prize winner.
Tickets shall be a revocable license to the Festival and Festival grounds for the time indicated to the prize winner by Sponsor. Sponsor reserves the right, without the award of any substitute prize or payment of any cash equivalent value, to refuse admission or to eject any person who fails to comply with the rules of Sponsor. No exchanges. The ticket user assumes all risks of personal injury incidental to the event, whether occurring prior to, during, or subsequent to the event, and holder voluntarily agrees that the Contest Parties, venue/facility, league or team, artist(s) performing, participants, participating clubs, and all of their respective agents, officers, directors, owners and employees are expressly released from any claims arising from such causes. The prize winner/user bears all risks of inclement weather. Tickets lost or stolen cannot be replaced. Festival time and date is subject to change. The resale or attempted resale of a ticket is prohibited and if discovered will result in the ticket being voided without the award of any substitute prize, exchange or payment of any cash equivalent value. The ticket may not be used for advertising, promotion (including contests and sweepstakes) or other trade purposes without the express written consent of Sponsor.
WINNER NOTIFICATION/VERIFICATION: The Winner will be notified by mail, email and/or phone on or about May 30, 2012 and may be required to complete and return a notarized Affidavit of Eligibility, License/Assignment of Right to Entry and Liability and Publicity Release (“Affidavit/Release”) within three (3) days of date specified on notification. Failure to comply within this time deadline will result in disqualification and the prize will be forfeited. If a potential winner cannot be contacted, or he/she is not in compliance with these Official Rules, the opportunity to win will be forfeited and the prize may be offered to the Entrant with the next highest score depending on time remaining and ability to award prize before the start of the Festival.
If an insufficient number of qualified entries are received, the Contest organizers reserve the right to modify or cancel the competition prior to announcing winners

Uploading an Entry submission constitutes Entrant’s consent to give Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such submissions in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes. If necessary, Entrant will sign any necessary documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights entrant is granting to use the Entry submission. Uploading an Entry submission constitutes Entrant’s consent to give Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such submissions in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes. If necessary, entrant will sign any necessary documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights entrant is granting to use the Entry submission.
WAIVER OF EQUITABLE RELIEF: Each Entrant acknowledges and agrees that he or she will not be entitled to any compensation as a result of Sponsor’s use of Entry. Each Entrant acknowledges that, with respect to any claim by Entrant relating to or arising out of Sponsor’s actual or alleged exploitation or use of any Entry or other material submitted in connection with the Contest, the damage, if any, thereby caused to the Entrant will not be irreparable or otherwise sufficient to entitle such Entrant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition or other exploitation of the Entry or any material based on or allegedly based on the Entry, and the Entrant’s rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.
GENERAL CONDITIONS: The Sponsor, Contest Parties, the Judge, and any other individual or company involved in the development or execution of the Contest, and YouTube and Google, Inc., and all of their respective shareholders, employees, directors, officers, representatives and agents (collectively, the “Released Parties”) are not responsible for lost, damaged, destroyed, stolen, late, mutilated, delayed, undelivered, inaccurate, misdirected or garbled entries, and all such entries will be ineligible and void. By participating, Entrants agree: (a) to be bound by these Official Rules and the decisions of the Sponsor and the Judge, which will be binding and final; (b) to Sponsor’s use of information and Entries supplied by Entrants for marketing purposes as allowed by law and consent given herein. Sponsor’s privacy policies can be located at http://www.bonnaroo.com/privacy/ (c) to release, indemnify and hold harmless Released Parties from any and all liability, claims, law suits, costs, expenses, fees, injuries (including death), losses, and damages which may be sustained in connection with Entrant’s submission of the Entry and participation in the Contest or Sweepstakes, the receipt, ownership or use of a prize, Entrant’s preparing for, participating in, and/or traveling to any prize-related activity, and/or from Entrant’s fraudulent or wrongful acts or omissions; and (d) not to sue Released Parties for any damages arising from a Entrant’s submission of an Entry, participation in the Contest or Sweepstakes, or a Entrant’s or another’s acceptance of or use of a prize. Sponsor will have the sole right, in their sole discretion, to: (i) disqualify any Entrant for violation of these Official Rules, the YouTube Terms of Service (http://www.youtube.com/t/terms) or Community Guidelines (http://www.youtube.com/t/community_guidelines) or any applicable federal, state and local laws, rules and regulations in all jurisdictions relating to the Contest; and (ii) resolve all disputes relating to the Contest. Released Parties are not responsible if Contest cannot take place or if any prize cannot be awarded due to travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, weather or acts of terrorism.
Released Parties are not responsible for hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures or faulty transmissions or for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, or Entry not received by Sponsor on account of technical problems or traffic congestion on the Internet, at a Contest application, or any combination thereof, or for any other errors of any kind relating to or in connection with the Contest, whether technical, mechanical, computer, network, printing, typographical, human or otherwise, including, without limitation, errors which may occur in connection with the administration of the Contest, the processing or judging of Entries, the announcement of any prize or any Contest-related materials, content or publications. Released Parties further disclaim any responsibility for any injury or damage to Entrant’s or any other person’s computer related to or resulting from entering the Contest or downloading any material for the Contest, or other telecommunications malfunctions which may limit a Entrant’s ability to participate. Sponsor in its sole discretion may disqualify any Entrant from participating in the Contest, refuse to award prize, and require the return of any prize, if Entrant engages in any conduct Sponsor deems to be improper, unfair or otherwise adverse to the operation of the Contest or detrimental to other Entrants. DISPUTES: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court of Pennsylvania or the appropriate State Court located in Pittsburg, Pennsylvania; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
